Governance and regulatory disclosures.

Regulatory framework. Cavenham Capital Limited is a UK MiFID investment firm authorised and regulated by the Financial Conduct Authority. Where our prudential category requires us to make Pillar 3 disclosures under the FCA's rules for investment firms, a summary is set out below; our current prudential categorisation and any applicable disclosure document are available on request.

Governance arrangements. The firm is led by a Chief Executive who holds overall responsibility for business strategy, risk appetite and oversight of the investment management function, together with defined compliance oversight responsibilities. Further detail on our governance structure is set out on the About page.

Risk management objectives and policies. We maintain a risk management framework covering market, credit, liquidity and operational risk, with defined risk appetite limits, ongoing monitoring and formal escalation procedures where a risk exceeds its agreed threshold.

Own funds and capital adequacy. The firm maintains own funds appropriate to its regulatory category and the nature, scale and complexity of its business, assessed on an ongoing basis through our internal capital and risk assessment process. Where applicable, detailed quantitative disclosures are set out in our annual Pillar 3 disclosure document.

Remuneration policy. Our remuneration policy is designed to promote sound and effective risk management, and does not encourage risk-taking that is inconsistent with the risk profile of the firm or the interests of our clients. Remuneration comprises fixed and variable components, with variable remuneration assessed against both financial and non-financial, including conduct and compliance, criteria.
